Terms of Service (Restaurant Subscription Agreement)

These Terms of Service ("Terms") are an agreement between Syed Qasim, an individual carrying on business as SYQAVO, Hyderabad, Telangana, India ("we", "us"), and the business that signs up for the Service ("you", "the Restaurant"). By creating an account, signing an order form, or using the Service, you agree to these Terms. If you accept on behalf of a business, you confirm that you are authorised to bind it.

1. The Service

1.1 We provide a hosted, subscription software service for restaurants under the name SYQAVO (the "Service"): table QR / NFC ordering for guests, a kitchen display, a billing counter, split bills and payment collection through a third-party payment gateway (not switched on yet), GST-inclusive billing, analytics, staff accounts and an audit trail. 1.2 The Service is provided over the internet. You receive a right to use it (Section 3); you do not receive any copy of, or right in, the underlying software. 1.3 We may improve and change the Service. We will not remove a core function you are paying for during a paid period without at least 30 days' notice, and if we do you may cancel and receive a pro-rata refund for the unused period.

2. Accounts and security

2.1 You must give accurate business details (legal name, address, GSTIN if registered, contact person) and keep them up to date. 2.2 You are responsible for your staff accounts: who you create them for, their roles, keeping passwords confidential, and removing access when a person leaves. Activity performed with your staff credentials is treated as yours. 2.3 Tell us at once at support@syqavo.com if you suspect unauthorised access. 2.4 Staff kitchen and billing-counter screen logins are shared-screen logins; keep those devices in staff-only areas.

3. Your right to use the Service

3.1 Subject to these Terms and payment of the fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription to use the Service for the internal operation of your restaurant(s) and branches covered by your plan. 3.2 You must not: (a) copy, modify, reverse engineer, decompile or attempt to obtain the source code of the Service; (b) resell, rent or provide the Service to third parties other than your own guests using it at your premises; (c) access it to build a competing product; (d) interfere with its security, test its vulnerabilities without our written permission, or overload it; (e) use it for anything unlawful, including recording false sales or evading tax; (f) remove our proprietary notices. 3.3 All rights in the Service, the software, its design and our trademarks remain ours. Feedback you give us may be used freely.

4. Plans, trial, fees and taxes

4.1 Plans, prices and limits (restaurants, branches, devices) are shown at https://syqavo.com/pricing/ or in your order form. 4.2 Trial. New restaurants may receive a free trial of 14 days. At the end of the trial the Service stops taking guest orders unless a paid plan is started. 4.3 Fees are charged in advance, monthly or yearly as chosen, in Indian Rupees. We are not registered for GST today, so no GST is charged. Once we are registered, GST is added at the applicable rate (currently 18% for software services) and we issue a GST-compliant tax invoice. 4.4 Late payment. If a payment is not received by its due date there is a grace period of 7 days. After that we may suspend the Service (Section 8). While suspended, guests cannot start new orders; staff can still finish meals already under way and collect bills. 4.5 We may change prices for future periods with at least 30 days' written notice. The change applies from your next renewal. 4.6 Fees are non-refundable except as stated in these Terms or our Refund & Cancellation Policy.

5. Your responsibilities as a restaurant

5.1 Menu, prices and taxes. You set your menu, prices, tax rates, service charge and discounts. The Service calculates bills from the settings you enter; you are solely responsible for those settings being correct and lawful, for issuing correct invoices to your guests, for your own GST registration, returns and payment, and for any licences your business needs (for example FSSAI). 5.2 Food and service. You alone are responsible for the food, drink, service and premises you offer your guests, and for any claim by a guest about them. 5.3 Guest payments. Online payments by your guests (not switched on yet) go straight into your own payment account, under your terms with your payment provider; that money never passes through us. We do not hold card or UPI details. Cash is received by your staff; the Service only records what your staff confirm. 5.4 Guest data. You decide why and how guest data is used in your restaurant; you are the Data Fiduciary for it under the Digital Personal Data Protection Act, 2023, and we process it on your behalf under the Data Processing Agreement (Annex A). You must have a lawful basis to collect it and must show guests our guest notice (the welcome screen does this). 5.5 Devices and internet. You provide your own devices, printers and internet connection. The Service needs an internet connection; there is no offline mode. Keep a manual fallback for outages.

6. Our responsibilities

6.1 We will provide the Service with reasonable skill and care, keep it secure using industry-standard measures (encryption of guest phone numbers, database-level separation between restaurants, access controls, an audit trail) and back up data regularly. 6.2 Availability. We aim to keep the Service available at all times, apart from planned maintenance (announced in advance where possible) and events outside our reasonable control. This is a target, not a guarantee, and no service credits are offered. 6.3 Support is provided by email at support@syqavo.com and by phone and WhatsApp at +91 96766 42333, Monday to Saturday, 10 am to 7 pm IST. 6.4 We will tell you without undue delay, and in any case within 72 hours of becoming aware, of a personal data breach affecting your data.

7. Your data

7.1 Ownership. Your business data (menus, orders, bills, reports) and your guests' data belong to you. We use it only to provide, secure, support and improve the Service, to meet legal obligations, and in anonymised, aggregated form that does not identify you or any person. 7.2 Records the law requires us to keep. Financial records (orders, bills, payments, GST records) are retained for as long as Indian law requires (for GST, generally at least 6 years from the relevant annual return). If your account is deleted, these records are kept, taken out of use, until that period ends, and are then erased. 7.3 Export. On request before or within 30 days after termination we will provide an export of your business data in a common format such as CSV.

8. Suspension and termination

8.1 We may suspend the Service, with notice where practical, if: fees are unpaid after the grace period; you materially breach these Terms; or suspension is needed to prevent harm to the Service, other customers or guests, or to comply with law. 8.2 You may cancel at any time from your account or by email; cancellation takes effect at the end of the current paid period unless you ask for immediate deletion. Refunds follow our Refund & Cancellation Policy. 8.3 We may terminate for convenience with 60 days' notice and a pro-rata refund of prepaid fees for the unused period. 8.4 Either party may terminate at once if the other materially breaches these Terms and does not fix the breach within 15 days of notice, or becomes insolvent. 8.5 On termination your right to use the Service ends. Sections 3.3, 5, 7, 9, 10, 11 and 12 continue.

9. Warranties and disclaimers

9.1 Each party warrants that it has the authority to enter into these Terms. 9.2 Except as expressly stated, the Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, or that it will meet every requirement of your business. Reports and tax figures are tools to help you; they are not tax or accounting advice.

10. Liability

10.1 Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, however caused, even if advised of the possibility. 10.2 Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us in that period. 10.3 Nothing limits liability for fraud, for wilful misconduct, or for anything that cannot be limited by law.

11. Indemnity

You will indemnify us against third-party claims arising from your food, service or premises, your tax settings and filings, your unlawful use of the Service, or your breach of Section 5.

12. General

12.1 Governing law and disputes. These Terms are governed by the laws of India. The parties will first try to settle any dispute by good faith discussion for 30 days. Unresolved disputes will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in Hyderabad, in English. Subject to this, courts at Hyderabad have exclusive jurisdiction. 12.2 Changes to these Terms. We may update these Terms. We will give at least 30 days' notice of material changes by email or in the Service. If you do not agree you may cancel before they take effect and receive a pro-rata refund of prepaid fees. 12.3 Force majeure. Neither party is liable for delay caused by events beyond its reasonable control (including internet, power or cloud-provider failures, natural disasters, government action). 12.4 Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or a successor of our business. 12.5 Notices to us: support@syqavo.com and Syed Qasim, Hyderabad, Telangana, India. To you: the email on your account. 12.6 Entire agreement. These Terms, your order form, the Data Processing Agreement and the policies they refer to are the entire agreement. Complaints are acknowledged within 24 hours and resolved within 15 days.
